1. Acceptance of Terms

By accessing and using the Digital Book of India staffypie Platform ("Platform"), including our website, Web Admin Dashboard, and Employee Mobile Application (collectively, "Services"), you accept and agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you—whether as a Company Admin, Super Admin, or Employee—and us. If you do not agree to these Terms, you may not access or use the Services.

2. SaaS Platform Usage & Responsibilities

Company Responsibilities: As a subscribing entity, you are responsible for maintaining the confidentiality of your administrative credentials. You must ensure that Role-Based Access Control (RBAC) permissions are granted appropriately. You are solely responsible for compliance with local labor laws regarding payroll computation, overtime disbursement, and employee monitoring notices.

Employee Responsibilities: Employees are granted limited, non-transferable access to use the Employee Mobile App solely for internal corporate purposes such as logging attendance, tracking field visits, and viewing payroll. You agree not to misuse or tamper with the application.

Admin Misuse & RBAC: The misuse of administrative privileges to illegally monitor employees outside of authorized shifts, or unauthorized extraction of payroll data, is strictly prohibited and grounds for immediate account suspension.

3. Subscription, Billing, and Payments (Razorpay)

  • Billing: The Platform is a B2B Software-as-a-Service. Access is billed on a subscription basis. All payments are processed securely via our payment gateway partner, Razorpay.
  • Payment Policies: Subscription fees are non-refundable unless explicitly stated otherwise in a separate enterprise agreement. Failure to pay may result in a suspension of services after a 7-day grace period.
  • Cancellations: You may cancel your subscription at any time via the Company Admin dashboard. Cancellation will take effect at the end of the current billing cycle.

4. GPS Tracking, Geofencing & Monitoring Consent

MANDATORY GPS DISCLOSURE

By utilizing the attendance and field visit features of our Mobile App, you explicitly consent to the following:

  • Geofence Attendance: We capture your precise GPS coordinates when you check-in/out to validate your proximity to authorized office locations.
  • Background GPS Tracking: When executing a "Field Visit" or initiating "Start Tracking", the app collects your live location data in the background. This data is transmitted to your employer for route history auditing and expense validation.
  • Fake GPS Usage: The use of GPS spoofing applications, VPNs, or any mechanism designed to falsify attendance locations is strictly prohibited. Our system actively detects Fake GPS. Engaging in attendance fraud will be reported directly to your Company Admin and may lead to disciplinary action.
  • Employee Monitoring: You acknowledge that your digital interactions within the app during work hours are monitored by your employer.

5. Biometric Consent (Face AI)

Our platform utilizes Facial Recognition AI for anti-spoofing and secure attendance logging. By taking a selfie for attendance:

  • You consent to the capture, encryption, and storage of your facial vectors.
  • Biometric misuse, including presenting photos or videos of another person (buddy punching), is a violation of these Terms. Our Face AI includes liveliness detection to prevent such fraud.

6. Payroll & Attendance Disclaimers

While our Platform provides robust payroll calculation and attendance validation tools, the Digital Book of India staffypie is a software provider, not your employer.

  • Payroll Disputes: Any discrepancies regarding salary calculations, overtime (OT) disbursements, or tax deductions must be resolved directly with your HR department. We disclaim all liability for payroll errors resulting from incorrect admin configurations.
  • Attendance Verification: The Platform acts as a technical intermediary. Final approval of leaves and field visits remains at the discretion of the Company Admin.

7. Account Deletion and Data Retention

Employees can initiate an account deletion request through the app. However, due to legal payroll and taxation compliance laws, employer organizations are legally mandated to retain financial and attendance records. Therefore, employee deletion requests are processed as "Soft Deletions." Your personal access will be revoked, but statutory audit logs will be retained by your employer.

8. Prohibited Activities

Users shall not:

  • Reverse engineer, decompile, or hack the Platform.
  • Upload malicious files or malware to the Cloudflare R2 storage system.
  • Engage in subscription abuse, automated scraping, or unauthorized API access.
  • Share administrative credentials with unauthorized personnel.

9. Limitation of Liability & Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE." We disclaim all warranties, express or implied. We do not guarantee 100% uptime and shall not be liable for any indirect, incidental, or consequential damages arising from service outages, data loss, or third-party service failures (e.g., Firebase, Razorpay, or Cloudflare).

10. Dispute Resolution & Governing Law

10. Indemnification and Hold Harmless

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Digital Book of India, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms & Conditions or your use of the Platform, including, but not limited to:

  • Any use of the Platform's content, services, and products other than as expressly authorized in these Terms.
  • Your use of any information obtained from the Platform.
  • Any breach of representations or warranties made by you regarding your right to process employee data.
  • Violations of applicable labor laws, minimum wage regulations, or statutory tax obligations arising from your reliance on our Payroll calculations.

11. Mandatory Arbitration and Class Action Waiver

Please read this section carefully as it affects your legal rights and governs how disputes are resolved.

Except for disputes relating to the infringement of intellectual property rights, any dispute, controversy, or claim arising out of, relating to, or in connection with these Terms, or the breach, termination, or validity thereof, shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India.

  • The seat of arbitration shall be New Delhi, India.
  • The language of the arbitration shall be English.
  • Class Action Waiver: You and Digital Book of India agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis. Neither you nor Digital Book of India will seek to have any dispute heard as a class action, a representative action, a collective action, a private attorney-general action, or in any proceeding in which either party acts or proposes to act in a representative capacity.

12. Service Level Agreements (SLA) & Uptime Guarantee

For Enterprise and Corporate tier subscribers, Digital Book of India provides a 99.9% uptime guarantee. If the Platform experiences downtime exceeding this threshold in any given calendar month, affected subscribers may be eligible for service credits, calculated as a percentage of their monthly subscription fee.

This SLA does NOT cover downtime resulting from:

  • Scheduled maintenance windows (announced at least 48 hours in advance).
  • Force majeure events (acts of God, natural disasters, terrorism, widespread internet outages).
  • Failures of third-party dependencies (e.g., Cloudflare outages, AWS regional failures, or SMS gateway failures).
  • Misconfiguration or improper use of the API by your integration team.

13. Digital Millennium Copyright Act (DMCA) and Content Takedowns

We respect the intellectual property rights of others. If you believe that any material available on or through the Platform infringes upon any copyright you own or control, please immediately notify our Designated Agent using the contact information provided below. A notification must meet the requirements of the applicable intellectual property laws (such as the DMCA) and include detailed evidence of the alleged infringement.

14. Entire Agreement and Severability

These Terms & Conditions, our Privacy Policy, and any signed Master Service Agreement (MSA) constitute the sole and entire agreement between you and Digital Book of India regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

15. Beta Features and Early Access Programs

From time to time, we may offer access to "Beta", "Early Access", or "Preview" features within the Platform. These features are provided on an strictly "AS IS" and "AS AVAILABLE" basis without any warranties or Service Level Agreements (SLAs). We reserve the right to modify, suspend, or discontinue any Beta feature at any time without prior notice. Use of Beta features is entirely at your own risk, and you acknowledge that such features may contain bugs, errors, or inaccuracies that could cause data loss or system failures.

16. Export Controls and Sanctions Compliance

The Platform and its underlying software and technology may be subject to export control laws and regulations of India and other applicable jurisdictions. You represent and warrant that you and your users are not located in, under the control of, or a national or resident of any embargoed country or territory, and are not listed on any Indian or international sanctions list. You agree to comply strictly with all applicable export control laws and assume sole responsibility for obtaining any required licenses to export, re-export, or import the software.

17. Feedback and Suggestions

We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Platform ("Feedback"). You may submit Feedback by emailing us, through the support ticketing system, or via other communication channels. By submitting Feedback, you grant us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sub-licensable, and transferable license under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon, and otherwise exploit the Feedback for any purpose.

18. Waiver of Jury Trial

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PARTIES HEREBY IRREVOCABLY WAIVE ANY AND ALL RIGHT TO TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS & CONDITIONS, THE PLATFORM, OR THE TRANSACTIONS CONTEMPLATED HEREBY. This waiver applies to any claim or defense, whether based on contract, tort, statute, or any other legal theory.

19. Force Majeure

Digital Book of India shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause that is beyond our reasonable control. Such causes include, but are not limited to:

  • Power failure, internet service provider failure, or telecommunications network failures.
  • Industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, or governmental action.
  • Epidemics, pandemics, or public health emergencies resulting in widespread disruption of commerce.

In the event of a Force Majeure, our obligations under these Terms will be suspended for the duration of the event. We will use reasonable commercial efforts to mitigate the impact of the event and resume normal operations as soon as practicable.

20. Anti-Corruption and Anti-Bribery Compliance

You agree that you have not received or been offered any illegal or improper bribe, kickback, payment, gift, or thing of value from any of our employees or agents in connection with these Terms. Reasonable gifts and entertainment provided in the ordinary course of business do not violate this restriction. If you learn of any violation of the above restriction, you will use reasonable efforts to promptly notify our Legal Department at legal@biddingindia.com.

21. Limitation of Liability for Payroll Calculations

The Platform provides an automated Payroll processing module designed to calculate wages, overtime, and statutory deductions based on the parameters and rules configured by the Company Administrator. However, YOU explicitly acknowledge that Digital Book of India is NOT an accounting firm, a law firm, or a certified tax professional. We do not guarantee that the payroll calculations will precisely match every nuanced local, state, or federal tax code. You are solely responsible for auditing payroll outputs, ensuring tax compliance, and verifying the accuracy of wage disbursements. Under no circumstances shall Digital Book of India be held liable for tax penalties, labor board fines, or employee lawsuits stemming from automated payroll inaccuracies.

22. API Usage and Rate Limiting

For subscribers utilizing our public APIs to integrate with third-party ERPs or custom dashboards, we impose strict Rate Limiting to preserve infrastructure stability. You agree not to circumvent these limits through multiple proxy IP addresses or parallel bot requests. Excessive polling that degrades system performance may result in the immediate suspension of API keys. If your organization requires higher throughput, you must contact our sales team to negotiate an Enterprise API addendum.

23. Non-Solicitation of Employees

During the term of your subscription and for a period of twelve (12) months thereafter, you agree that you shall not, directly or indirectly, solicit for employment, hire, or engage as an independent contractor any employee or developer of Digital Book of India who was directly involved in providing support, implementation, or engineering services for your account. This restriction does not apply to general public job postings not specifically targeted at our employees.

24. Modification of the Platform

Digital Book of India operates on a Continuous Integration/Continuous Deployment (CI/CD) methodology. This means we are constantly releasing updates, new features, and bug fixes to the Platform. We reserve the right to modify, deprecate, or completely remove certain features or functionalities without prior notice. If a core feature relied upon by your business operations is scheduled for deprecation, we will provide at least sixty (60) days advance notice to allow you to transition your workflows.

25. Notice and Electronic Communications

You agree to receive communications from us electronically, including via email or through in-app notifications on the Super Admin and Company Admin dashboards. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

26. Survival of Provisions

All provisions of these Terms & Conditions which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Specifically, the Mandatory Arbitration and Class Action Waiver sections shall remain binding indefinitely.

27. Interpretation and Definitions

The headings and subheadings used in these Terms are for convenience only and shall not dictate the interpretation of the legal text. The term "including" means "including but not limited to." References to statutory laws refer to the current enacted versions and any successor legislations.

28. Assignment of Agreement

You may not assign, delegate, or transfer these Terms or your rights or obligations hereunder, or your Services account, in any way (by operation of law or otherwise) without Digital Book of India's prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent in connection with a corporate reorganization, merger, acquisition, or sale of substantially all of our assets.

29. Disclaimers of Implied Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

30. Hardware Compatibility and Procurement

The Platform's mobile application is designed to run on modern iOS and Android devices. We do not supply, lease, or subsidize the procurement of mobile hardware for your employees. The Company is solely responsible for ensuring that its workforce possesses compatible devices equipped with functional cameras, GPS modules, and active cellular data connections required for the Face AI and GPS features to operate.
